Terms and conditions
Last updated: 23 October 2026
These general terms and conditions belong to OneStone AI Solutions B.V., located at Van der Waalsstraat 18, 2665 JK Bleiswijk, the Netherlands, registered with the Dutch Chamber of Commerce under number 92070329, VAT number NL865873793B01 (hereinafter: OneStone). This English version is a translation. In case of differences, the Dutch version prevails.
Article 1. Definitions
- Client: the business or organisation that enters into or wants to enter into an agreement with OneStone.
- Agreement: any arrangement between OneStone and the client about the delivery of services.
- Services: everything OneStone delivers, such as designing and building websites and webshops, hosting and maintenance, SEO, managing ads (such as Google Ads and Meta Ads), AI applications, automation and custom software.
- Preview: the free and non binding design or prototype OneStone makes before there is an agreement.
- Subscription: a service for which the client pays a fixed monthly amount, such as hosting, maintenance or marketing.
Article 2. Applicability
- These terms apply to all offers, quotes and agreements of OneStone.
- OneStone only delivers to businesses and organisations. These terms are not intended for consumers.
- Deviations only apply if agreed in writing (email included). Purchasing or other terms of the client do not apply.
- If a provision is void or voidable, the other provisions remain in force and the parties replace that provision with a valid one that is as close as possible to its intention.
Article 3. The free preview
- On request, OneStone may build a free preview. No costs and no obligations are attached to it.
- All rights to the preview remain with OneStone until an agreement has been concluded and paid. Without an agreement, the client may not use or copy the preview, or parts of it, or have it rebuilt by someone else.
- Images and texts in a preview may be temporary or indicative.
Article 4. Quotes and conclusion of the agreement
- Quotes are non binding and valid for 30 days, unless stated otherwise.
- An agreement is concluded as soon as the client accepts a quote in writing or by email, or as soon as OneStone starts the work with the client's consent.
- The quote states the agreed services, the price, the term and any specifics. In case of conflict, the quote prevails over these terms.
Article 5. Performance
- OneStone performs the agreement to the best of its knowledge and ability, in line with good craftsmanship. This is an obligation of effort, unless a result has been expressly agreed.
- The client provides all information, texts, images, access and cooperation needed in time. Delays caused by missing input are at the client's expense.
- The client guarantees that the material it supplies does not infringe the rights of others and is not unlawful, and indemnifies OneStone against claims about it.
- OneStone may use third parties and tools, including AI tools, to perform the work. OneStone remains responsible for the result it delivers.
- Stated deadlines are indicative and not strict deadlines, unless expressly agreed otherwise.
Article 6. Additional work
Wishes outside the agreed services are additional work. OneStone will say in advance when something is additional work and only charges it after the client agrees, at the agreed or usual rate.
Article 7. Delivery and acceptance
- After delivery, the client has 14 days to check the result and report any defects in writing. OneStone fixes reported defects that fall within the agreement free of charge.
- The result is deemed accepted if the client reports no defects within that period or starts using the result, for example by putting a website live.
Article 8. Prices and payment
- All prices are in euros and exclude VAT, unless stated otherwise.
- One time amounts are invoiced as stated in the quote. Subscriptions are invoiced in advance per month, quarter or year.
- Invoices must be paid within 14 days of the invoice date. After that period the client is in default without notice and owes the statutory commercial interest, plus reasonable collection costs.
- In case of overdue payment, OneStone may suspend its services, including hosting, after a written reminder until everything has been paid.
- OneStone may adjust subscription prices each year on 1 January in line with inflation (Statistics Netherlands consumer price index). OneStone announces other price changes at least 30 days in advance; the client may then cancel the subscription as of the date the change takes effect.
- Ad budget for platforms such as Google or Meta is not part of OneStone's fee and is paid by the client directly to the platform, unless agreed otherwise.
Article 9. Term and cancellation
- Subscriptions have the minimum term stated in the quote. After that, the subscription continues for an indefinite period and can be cancelled monthly, with one month's notice.
- Cancellation can be done in writing or by email to info@onestone.ai.
- Cancelling before the end of the minimum term is not possible, unless the parties agree otherwise. If the client still wants to stop earlier, the instalments until the end of the minimum term remain due.
- Either party may terminate the agreement with immediate effect if the other party goes bankrupt, is granted a suspension of payments or ends its business, or fails to meet its obligations after a written notice of default with a reasonable period.
Article 10. Hosting, domain names and maintenance
- If hosting and a domain name are part of the service, OneStone arranges them for the client. Where possible, the domain name is registered in the client's name.
- OneStone makes every effort to keep the website available and secure, but cannot guarantee uninterrupted availability. OneStone carries out planned maintenance at quiet times as much as possible.
- OneStone makes regular backups. The client remains responsible for keeping its own data that it uses outside the website.
- The client does not use the hosting for unlawful content, spam or activities that may harm OneStone's systems or other clients. In case of a breach, OneStone may suspend the service.
- At the end of the agreement, OneStone cooperates in transferring the domain name and, after full payment, in moving the website to another party. Work needed for this is charged at the usual rate.
Article 11. Marketing and results
With SEO, ads and other marketing, the result depends on factors outside OneStone's control, such as search engines, ad platforms, competition and the market. OneStone therefore does not guarantee rankings, visitor numbers, leads or revenue, unless expressly agreed in writing. The rules of platforms such as Google and Meta also apply to the client.
Article 12. AI applications
- For AI applications, such as chatbots and automation, OneStone uses AI models from third parties. AI answers may be incorrect or incomplete. The client remains responsible for how they are used towards its own customers and for reviewing important decisions.
- Costs for the use of AI models may be stated separately in the quote. OneStone may set reasonable usage limits to prevent misuse and unexpected costs.
Article 13. Intellectual property
- After full payment, the client receives the rights to the design and to the texts and content made specifically for its website. As long as not everything has been paid, all rights remain with OneStone.
- Rights to generic parts, such as code, components, templates, methods and knowledge that OneStone also uses for others, remain with OneStone. The client receives a perpetual, non exclusive right to use them for its website or application.
- Software, fonts, images and other third party parts are subject to the licence terms of those third parties.
- OneStone may show the delivered work in its portfolio and on its website, and place a small reference to OneStone on the website, unless the client objects.
Article 14. Liability
- OneStone's liability is limited to compensation of direct damage and to at most the amount the client paid for the service concerned in the 12 months before the event causing the damage. In any case, liability is limited to the amount paid out by OneStone's insurer in that case.
- OneStone is not liable for indirect damage, including consequential damage, lost profits, missed savings, loss of data and damage due to business interruption.
- OneStone is not liable for damage caused by outages or changes at third parties, such as hosting providers, search engines, ad platforms, payment services and AI suppliers.
- These limitations do not apply in case of intent or deliberate recklessness on the part of OneStone.
- The client must report damage in writing as soon as possible and no later than 12 months after becoming aware of it. After that, the right to compensation lapses.
Article 15. Force majeure
OneStone is not obliged to perform if this is reasonably impossible due to circumstances beyond its control, such as outages of internet, energy, hosting or other suppliers, cyber attacks, illness and government measures. If force majeure lasts longer than 60 days, either party may terminate the agreement in writing, without any obligation to pay compensation.
Article 16. Confidentiality
Both parties keep confidential information they receive from each other secret, during and after the agreement, unless the law requires disclosure.
Article 17. Personal data
If OneStone processes personal data on behalf of the client while performing the agreement, for example of visitors to the client's website, it does so as a processor within the meaning of the GDPR. The parties record the arrangements in a data processing agreement, which OneStone provides on request. The client remains responsible for its own privacy statement and cookie notice on its website, which OneStone can help with.
Article 18. Applicable law and disputes
- All agreements with OneStone are governed by Dutch law.
- The parties first try to resolve a dispute together. If that fails, the District Court of The Hague has jurisdiction, unless the law designates another court.
Article 19. Changes
OneStone may change these terms. Changes apply to existing agreements from 30 days after OneStone has announced them. If the client does not agree with a material change, it may cancel the subscription concerned as of the date the change takes effect.
